Terms of Use.

These Terms of Use (the “Terms”) are a binding agreement between you and Marocain LLC (“Marocain”, “we”, “us”) governing your access to and use of marocain.investments and any related pages, tools, APIs, feeds, and services (together, the “Service”).

By accessing or using the Service, creating an account, or clicking to accept, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or other entity, you represent that you are authorised to bind that entity, and “you” refers to that entity.

You are responsible for complying with all laws that apply to you, including the laws of your country of residence and any sanctions or export-control rules. You may not use the Service where doing so would be unlawful.

The Service is a real-estate intelligence platform for the Moroccan market. It aggregates property listings and public information from third-party sources, adds computed signals — including the {GIN} quality/deal scores, the M-Value automated valuation estimate, proximity, and market metrics — and offers related tools, editorial content, concierge and advisory services, and lead-generation features.

The Service is an information and software tool. We are not a real-estate broker, agent, dealer, lender, appraiser, or a party to any property transaction, and we do not represent buyers or sellers unless a separate written agreement expressly says so.

The Service is provided for general information only. Nothing on it — including {GIN} scores, the M-Value estimate, price predictions, yields, market data, rankings, editorial, or concierge output — is investment, financial, legal, tax, or professional advice, an offer or solicitation, an appraisal, or a recommendation to buy, sell, or hold any property or security.

The scores and valuations are algorithmic estimates generated from incomplete third-party data and modelling assumptions. They can be inaccurate, out of date, or wrong, and they are not a substitute for a professional appraisal, inspection, survey, title search, or independent advice.

You are solely responsible for your own due diligence and decisions. Before transacting, verify every figure independently and consult qualified, licensed professionals (e.g. a notary, lawyer, tax adviser, surveyor, or licensed valuer) in the relevant jurisdiction.

Listing data, images, prices, descriptions, agent details, and similar content are collected from third-party public sources (property portals, agency and developer websites, and public bodies such as Al Omrane). We do not create, own, control, endorse, or independently verify this content, and we do not guarantee that any listing is genuine, available, accurately priced, lawfully offered, or still on the market.

Any dealings you have with a third party found through the Service — including agents, developers, sellers, or service providers — are solely between you and that third party. We are not responsible for their conduct, representations, listings, or any transaction, and we are not liable for any loss arising from them.

If you are a rights holder and believe content on the Service infringes your rights, or if a listing is inaccurate or should be removed, contact us at the address below and we will review it in good faith.

Some features require an account. You agree to provide accurate information, keep it up to date, keep your credentials confidential, and be responsible for all activity under your account. Notify us promptly of any unauthorised use.

We may refuse, suspend, or reclaim any account or username at our discretion, including where we reasonably believe these Terms have been breached.

If you claim, submit, or manage listings, or receive buyer enquiries (“leads”) through the Service, you additionally represent and warrant that: you are lawfully entitled to market each property and to publish its content; the information you provide is accurate and not misleading; and you hold all necessary licences and consents.

You will use leads and any personal data you receive only to respond to the specific enquiry, in compliance with applicable data-protection and consumer-protection law, and not for unsolicited marketing. You grant us a licence to display and distribute the content you submit as part of operating the Service.

Paid placement, verification, or subscription features are governed by the plan terms presented at purchase, together with these Terms.

Certain features and services (for example valuations, reports, concierge, verification, placement, or subscriptions) are paid. Prices, currencies, and what is included are shown at the point of purchase. You authorise us and our payment processor to charge the payment method you provide.

Payments are processed by third-party processors (e.g. Stripe); we do not store full card details. Unless expressly stated or required by law, fees are non-refundable, and subscriptions renew for successive periods until cancelled. Taxes may apply and are your responsibility unless we state otherwise.

You agree not to:

• scrape, crawl, harvest, or bulk-extract the Service or its data, or use bots or automated means, except via an interface we expressly provide for that purpose;
• copy, resell, redistribute, or create a competing or derivative dataset or product from the Service or its scores/valuations;
• reverse-engineer, decompile, or attempt to derive our models, source code, or underlying data;
• circumvent access controls, rate limits, or security; probe or disrupt the Service; or introduce malware;
• misrepresent your identity, infringe others’ rights, or use the Service for fraud, spam, harassment, or any unlawful purpose;
• remove or obscure any proprietary notice, or use our name or marks without permission.

The Service, and all software, design, text, the {GIN} and M-Value methodologies, computed scores, compilations, and other content we provide (excluding third-party listing content and your own submissions), are owned by Marocain or our licensors and are protected by intellectual-property laws. “marocain.investments”, “{GIN}”, “M-Value”, and related marks are our trademarks.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own non-commercial evaluation of Moroccan property, or for your internal business use as a professional user. No other rights are granted.

If you submit content (e.g. enquiries, listing data, reviews, or messages), you represent that you have the right to do so and grant us a worldwide, royalty-free, sublicensable licence to host, use, reproduce, and display it to operate, improve, and promote the Service. You are responsible for what you submit.

Any feedback or suggestions you give us may be used without restriction or obligation to you.

The Service links to and integrates third-party websites and services that we do not control. We are not responsible for their content, availability, or practices, and your use of them is governed by their own terms.

THE SERVICE, INCLUDING ALL LISTINGS, SCORES, VALUATIONS, AND DATA, IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO ACCURACY, COMPLETENESS, RELIABILITY, OR AVAILABILITY.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any result, estimate, or valuation is accurate. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAROCAIN AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENT LOSSES, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. These limits apply to the fullest extent permitted; nothing in these Terms limits liability that cannot be limited by law.

You agree to indemnify and hold harmless Marocain and its personnel from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content or submissions, your breach of these Terms, or your violation of any law or the rights of a third party.

You may stop using the Service at any time and delete your account. We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) survive termination.

We may change, suspend, or discontinue any part of the Service at any time. We may also update these Terms; if we make material changes, we will update the “Last updated” date and, where appropriate, give additional notice. Your continued use after changes take effect means you accept the updated Terms.

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and, where applicable, by the U.S. Federal Arbitration Act.

The exclusive venue for any dispute that is not subject to arbitration is the state or federal courts located in Delaware, and you consent to their jurisdiction. To the extent permitted by law, you and Marocain waive any right to a jury trial and to participate in a class or representative action. Nothing here deprives you of any mandatory consumer protection you have under the law of your country of residence.

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreement on that subject. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. There are no third-party beneficiaries. English is the governing language of these Terms.
